SaaS auto-renewals you didn't see coming.
The charge lands for a full new term. You go looking for the way out and find it closed months ago. A surprise auto-renewal is the moment a contract nobody was watching starts costing real money.
A surprise auto-renewal has three parts.
It renewed on its own
Most software agreements renew automatically for another term unless someone gives notice. No new signature, no reminder you can count on. The renewal is the default.
Often at a higher price
Many agreements let the price rise at renewal. The new rate shows up on the invoice, not in a contract anyone was asked to sign again.
The notice window already closed
To stop a renewal you usually have to give notice a set number of days before it, often months. A missed renewal notice means the out clause has already passed by the time the renewal is on anyone's mind.
A marketing tool, $1,500 a month.
This is an illustrative example, not a customer's account. A marketing tool renewed at $1,500 a month. Nobody had touched it since onboarding. The contract had a 90-day notice period, so the out clause passed 90 days before anyone saw the charge.
Here is what Sidecar would have put in front of the tool's owner, and when, if the contract had been in Sidecar.
During the pilot, deadline alerts are switched on per workspace by the Sidecar team. Until then your dates are still tracked, with the last safe day to act, from the day you add an agreement.
If they'd wanted to keep it
The kind of points a review lists for a contract like this, ranked, each with a fallback:
- →Move to a smaller plan or fewer seats that match real use.
- →Cap how much the price can rise at renewal.
- →Shorten the notice period, or move to month-to-month.
Sidecar can't see who logs in to a tool. What it does is make sure the person who would know gets asked, with time left to act on the answer.
Why contracts renew without anyone noticing.
Nobody owns the contract
The person who signed it moved on, and nobody inherited it. A contract without an owner has nobody to warn.
The deadline is buried in the paper
The notice period is a sentence in a renewal clause, often pages in. Nobody copies it into a calendar, and the renewal date is the one people remember, not the earlier date that matters.
Nobody's watching the calendar
Even when the date is written down somewhere, nothing turns it into a warning for a specific person with enough lead time to act.
How to stop a surprise renewal: see the date while it still matters.
The dates, early
Upload the agreement and Sidecar works out the renewal date, the notice deadline and the last safe day to act, 7 days before the deadline. The dates are computed in code, not guessed by the model.
The out clauses that still apply
The termination and non-renewal terms, with the clause quoted, so you know exactly what notice to give and how.
Negotiation points, before the deadline
If you want to keep it on better terms, the review ranks what to ask for. Asking before the notice deadline is when you still have a choice to bargain with.
A warning to a named person
Renewal Watch warns the contract's owner 30, 14 and 7 days before each notice deadline. Decide not to renew and Sidecar pre-fills the notice of non-renewal from the agreement's own dates.
During the pilot, deadline alerts are switched on per workspace by the Sidecar team. Until then your dates are still tracked, with the last safe day to act, from the day you add an agreement.
Contract renewed without notice? Start here.
Read the renewal and termination clauses. Some agreements allow an exit mid-term, or require the vendor to remind you before renewing.
Ask the vendor. A downgrade, fewer seats or a shorter term is a fair request, even after the deadline.
Put the next notice deadline in front of a named person, so it doesn't happen twice.
For a legal question about a specific contract, talk to a lawyer. Sidecar is business decision support.
Auto-renewal questions
What happens if my contract auto-renews?
It usually runs for another full term on the same terms, sometimes at a higher price if the agreement allows an increase. Whether you can still leave depends on the termination clause. Many agreements only let you stop a renewal with notice given before a deadline.
How do I stop a surprise renewal?
Find the notice deadline before it passes. It's set in the renewal clause as a number of days before the renewal date. Then give written notice the way the contract says, early enough to allow for sign-off and delivery.
What is a missed renewal notice?
It's when the deadline to tell a vendor you won't renew passes without notice being given. After that, the contract usually renews automatically, even if nobody uses the product.
My contract renewed without notice. Can I cancel?
It depends on the agreement. Read the termination clause first: some contracts allow an exit mid-term or require the vendor to remind you before renewing. If not, ask the vendor for a smaller plan or a shorter term. For a legal answer about your contract, talk to a lawyer.
What is the last safe day to act?
In Sidecar, it's 7 days before the notice deadline. The deadline is the last day notice counts; the last safe day leaves room to get sign-off and deliver the notice.
